Three years of financials, your current organization, and a look at revenue mix. You get our honest read back — including when the answer is that you would do better waiting two years and fixing margin first.

A structure, in writing
Cash at close, rollover, role and timeline — the four things that decide whether a deal is right for you. If the numbers do not work for both sides, we say so early rather than negotiating you toward a number we were always going to land on.
